Terms of Service

The terms governing your use of Athena AI products and services. Last updated: 27 February 2026.

1. Agreement

These Terms of Service ("Terms") govern your use of software products and services provided by Athena AI Ltd., a company registered in England and Wales ("Athena AI", "we", "us", "our").

By purchasing a licence, accessing our website, or using our products, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.

2. Products and licensing

Athena AI provides on-premises software products including Athena, Hephaestus, Plutus, Hermes, Apollo, and Dionysus. All products are licensed, not sold.

A licence grants you the right to install and use the software on your own infrastructure for the number of users and duration specified in your licence agreement. You may not sublicence, resell, or distribute the software without our written consent.

Licence fees, implementation fees, and payment terms are set out in your individual licence agreement or order form.

3. Your responsibilities

You are responsible for: providing and maintaining the hardware, network, and infrastructure on which our products run; ensuring your systems meet the minimum requirements specified in product documentation; managing user access and permissions within your organisation; and backing up your own data.

You agree not to: reverse-engineer, decompile, or disassemble our software except to the extent permitted by applicable law; use the software for any unlawful purpose; or attempt to circumvent licence restrictions.

4. Your data

Our products run entirely on your infrastructure. We do not access, process, store, or transmit any data that your organisation processes using our software.

You retain full ownership and control of all data processed by our products. We make no claim to your data and have no ability to access it.

You are solely responsible for complying with applicable data protection laws (including UK GDPR) in relation to the data you process using our software.

5. Support and updates

Licence agreements include access to software updates and technical support as specified in your agreement. Support is provided during UK business hours unless otherwise agreed.

We will use reasonable endeavours to resolve issues and provide updates, but we do not guarantee uninterrupted operation of the software.

6. Intellectual property

All intellectual property rights in our products, documentation, and website content remain with Athena AI Ltd. Your licence does not transfer ownership of any intellectual property.

You retain all rights to your own data, content, and any outputs generated by our software on your infrastructure.

7. Limitation of liability

To the maximum extent permitted by law, Athena AI Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of our products.

Our total liability under these Terms shall not exceed the fees paid by you in the twelve months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

8. Termination

Either party may terminate a licence agreement with 30 days' written notice. We may terminate immediately if you breach these Terms and fail to remedy the breach within 14 days of written notice.

On termination, your right to use the software ceases. You should uninstall the software from your infrastructure. We have no ability to access or delete data on your systems.

9. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to active licence holders via email. Continued use of our products after changes take effect constitutes acceptance of the updated Terms.

10. Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
